(TAB) Terms of Use

Effective Date of these Terms: 01/05/2026

1. Overview and Definitions

A. You are reading and agreeing to these Terms of Use ("Terms"), which constitute an agreement between you, the user of the application and platform (referred to in these Terms as the "User", "you", or similar terms), and us. We are TAB Exchange Company, the operator of the application and platform, and the provider of TAB company products related to our platform.

B. These Terms apply to your interactions with the platform through any of the following companies (and any reference in these Terms to "TAB Exchange Company", "we", "us", or similar terms shall refer to any of them):

Tabadol Company Limited (tab-now.com), a company established in the Hashemite Kingdom of Jordan under registration number 77868, with its address at: Hashemite Kingdom of Jordan, Amman, Khalda, Wasfi El Tal Street, Al Areej Complex 210, office 307.

TAB Exchange Company provides electronic bartering, exchange, buying, and selling services through the application or the platform belonging to the Exchange Company. It also organizes physical, in-person markets under the name "Friday Markets Bazar" (initially in Jordan only). Additionally, the Exchange Company organizes the monthly "Prize Hunter" competition (initially in Jordan only), where a password will be placed in a specific location; the launch of the competition and the location of the password will be announced with relative precision, and the person who finds the password first, enters it in the correct place, and activates it wins. The monthly prize will be 100 Dinars, except for the prizes of June (Month 6) and December (Month 12), where the prize will be 250 Jordanian Dinars. Furthermore, it organizes the "National Competition for Creative Ideas" (initially in Jordan only) and the "Creator and Investor Meeting" exhibition (initially in Jordan only). C. We reserve the right to cancel or amend any of these Terms at our sole discretion. Our right to cancel or amend these Terms shall not prejudice any other right or remedy available to us regarding any breach that may have occurred, or any rights, obligations, or liabilities incurred prior to such cancellation or amendment.

D. We provide the space for sellers, buyers, and exchangers to negotiate and complete commercial transactions among themselves. Our platform helps facilitate commercial transactions related to User Content. In this regard, we provide TAB Exchange Company products to barterers, sellers, and buyers to enable the process of advertising, featuring the advertisement's location, and the overall user experience.

E. To improve your experience, we need to know certain information about you. We invite you to review our data collection and processing practices in the Privacy Policy for further details on this matter.

F. You may access the platform strictly through our application, web browser, and mobile devices, and not through any robot, spider, offline reader, search applications, or any device, tool, or manual/automated method to retrieve, index, or data-mine information from the platform via scraping, spidering, or otherwise. Exceptionally—and subject to revocation by us at any time—operators of search engines are permitted to use spiders to copy materials from the platform solely for the clear purpose and to the extent necessary to create publicly available searchable indices, without the right to retain or archive such information.

G. We reserve our right to restrict you at any time from using the platform and/or any of TAB Exchange Company's activities and events (or any part thereof).

H. In these Terms, we use multiple defined terms. The meanings of these terms are as follows:

2. Registration and Your Account

1. You need to register and input your required information in order to utilize the platform and interact with it correctly. Account creation is free of charge. Under this free subscription, you have the right to advertise for free what you wish to barter, sell, or purchase (you are permitted to activate up to four (4) free advertisements simultaneously; to list a fifth advertisement, you must delete at least one active advertisement to maintain the maximum limit of only four activated advertisements). We will charge fees for any featured/premium advertisement (you can choose between free or paid advertisement) or for participating in the "Friday Markets Bazar" as a barterer, seller, or provider of goods or services, in exchange for providing you with one table and two chairs to display your products; you may request additional tables and chairs for an extra fee. We also provide a babysitting service and a dedicated area to purchase beverages and light snacks within the Bazar (Friday Market). When you hold an account, you will be able to create User Content, barter, sell, or buy products displayed on the TAB Exchange platform, review your searches quickly and easily, conduct chat conversations with other users on the platform, and manage your account settings. We may request users to re-verify their accounts at any time. We reserve the right to reject registration or to close any account at any time.

2. The registration process is very simple and will mostly require you to provide a username, password, and an active phone number. We reserve the right to request additional information to improve the user experience, such as address, profession, and date of birth. To make the exchange, buying, or selling process more effective and efficient, additional personal information must be included, such as date of birth, profession, and address.

3. Each user has the right to own only one account on the platform. Any duplicate accounts will be deleted by us. If you utilize multiple accounts and we take action against you, we may apply our enforcement measures against all of your accounts.

4. You must maintain the confidentiality of your account password and notify us immediately if any unauthorized third party becomes aware of your password, or if there is unauthorized use of your account or any known security breach that may affect your account. You agree that we are not responsible and assume no liability if a person to whom you disclosed your password, or who became aware of it, utilizes (and/or transacts through) the platform and/or barters or purchases any products within the platform and application of TAB Exchange Company. Please be advised that you are entirely responsible if you fail to maintain the confidentiality of your password.

5. We may send you administrative or promotional messages from time to time. We may also send you information related to your account activity and your purchase transactions, as well as updates regarding our platform, TAB Exchange Company products, or other promotional offers. You may opt out of specific communications only if this feature is made available to you. Please read our Privacy Policy for more information regarding this matter.

6. In the event that we reasonably believe or possess evidence that you (or the User Content you created) have violated any of these Terms, the Privacy Policy, or applicable laws, or if we suspect, on reasonable grounds, that you (or the User Content you created) have violated or will violate any of these Terms, the Privacy Policy, or applicable laws, we may, without the need for prior notice:

A. Block, suspend, permanently delete, or blacklist your account;

B. Prevent you from using the platform or any products displayed on the TAB Exchange Company platform that were bartered or purchased (whether using your account or anyone else's account); and/or

C. Prevent you from activating any purchased TAB Exchange Company products, and we shall bear no liability whatsoever resulting from our exercise of this right.

7. If we take any of the measures stipulated in Clause 6, we may not restore the account to you until we receive confirmation from you, in a manner we deem acceptable, that there will be no further violation of these Terms, our Privacy Policy, or applicable laws.

8. We will fully cooperate with any request or directive from security or judicial authorities to disclose the identity or determine the location of any person violating these Terms or applicable laws.

9. By continuing to use the platform, you agree that we may at any time audit and inspect your account to investigate system errors or to verify any potential or reported violations of these Terms, the Privacy Policy, or any of our policies, rules, or regulations.

10. You must notify us of any dispute within 48 hours from the time you become aware of the problem.

11. We reserve the right to close an account belonging to any user and/or suspend, cancel, or terminate purchased TAB Exchange Company products immediately and directly if they violate these Terms. This includes if it is found that they are using a proxy device to mask their IP address to cover up their use of multiple accounts, or if a person pretends to be in a country different from the one they actually reside in, or if they disrupt the platform or any TAB Exchange Company products in any manner. In such a case, the user shall not be entitled to any compensation from TAB Exchange Company, as outlined in the clauses relating to the limitation of our liability and indemnification within these Terms.

3. Our Products and Services

3.1 We provide you with a variety of TAB Exchange Company products, which can be purchased directly from TAB Exchange Company or through an authorized partner/affiliate designated to sell TAB Exchange Company products.

3.2 All TAB Exchange Company products are strictly non-refundable. TAB Exchange Company products are categorized into several types:

Third-Party Products: Our platform may occasionally sell or advertise TAB Exchange Company products provided by third parties (e.g., reports). In such cases, these Terms apply in conjunction with the terms and conditions of the respective third party (to the applicable extent).

Bazar and Friday Market Products: In these cases, these Terms apply in conjunction with the terms and conditions of the respective third party (to the applicable extent), in addition to TAB Exchange Company's specific terms and conditions regarding the organization of Bazar products.

Transportation Products: Our platform may occasionally sell or advertise transportation-related products provided by third parties (e.g., drivers or other applications). In such cases, these Terms apply in conjunction with the terms and conditions of the respective third party (to the applicable extent).

Point Accumulation Mechanisms: Our platform may occasionally advertise mechanisms related to the ability to accumulate points within the application (utilizing any paid service such as a featured advertisement, subscribing to the Bazar, attracting a new customer, or providing an optimization idea will earn you points that are convertible into real cash and usable within the application), which may sometimes be in partnership with third parties. In such cases, these Terms apply in conjunction with the terms and conditions of the respective third party (to the applicable extent). It is also possible to utilize these points in cooperation with third-party companies, such as restaurants or other collaborating entities, where points can be exchanged for purchase vouchers, for example.

Prize Hunter Competition: Our platform conducts internal competitions subject to the terms and conditions of TAB Exchange Company. The company reserves the right to retract prizes under specific circumstances. The company's dedicated terms and conditions shall apply to these products.

Other Products: From time to time, TAB Exchange Company may offer certain additional products aimed at enhancing your overall experience with us.

3.3 With respect to the services provided by TAB Exchange Company, we reserve the right to set or determine an expiration date (which we may amend at our sole discretion from time to time). If you do not utilize any TAB Exchange Company product within its validity period (as communicated to you by us through any available communication channel), you will not be able to benefit from it after the expiration date, and you shall have no right to receive any compensation or refund from us. The provisions of this clause apply to any special promotional offers associated with a specific time-bound circumstance (including, without limitation, a season, occasion, or holiday), in addition to any special terms applying to the offer.

3.4 We reserve the right, at any time, to:

Update, change, and/or cancel, in whole or in part, any of TAB Exchange Company's products (including any payment-related services);

3.5 At this time, customers can purchase or exchange products and services offered by other customers on the platform solely by arranging payment terms directly with the barterers or sellers. We do not provide any payment facilitation or processing services between barterers, buyers, and sellers. Except as explicitly communicated to you by us in writing, any and all payments made to us may only be used to purchase TAB Exchange Company products provided by us.

3.6 Although we will attempt to permit uninterrupted access to the platform or to any of TAB Exchange Company's products, access may be suspended, restricted, or terminated at any time. Your access may occasionally be restricted to allow for repairs, maintenance, or the introduction of new facilities or services. We will endeavor to restore access as soon as we reasonably can.

4. Purchasing from TAB Exchange Company

4.1 To purchase any of TAB Exchange Company’s products from the platform, you or we may be required to transmit certain information through a third-party service provider, which may be governed by its own terms of use and policies. We make no representation, warranty, or guarantee regarding the safety or security of such information transmitted to other platforms, and we assume no liability resulting from your use of other platforms, which shall be at your own sole risk.

4.2 Payments to us may be settled through various means. Regardless of the payment method, you will always receive an invoice or payment receipt from us regarding the TAB Exchange Company product you purchased. If you do not receive the invoice or payment receipt for any reason, you have the right to request it at any time. TAB Exchange Company reserves the right to add service fees to any invoice or payment receipt as it deems appropriate.

4.3 Our platform allows you to prepay for specific TAB Exchange Company products. This facilitates your ability to activate any TAB Exchange Company product whenever you need it, without the need to make additional payments. You shall not be entitled to any interest or profits on any balance you may hold with us.

4.4 All purchases are final, irreversible, and non-refundable. Once a TAB Exchange Company product is purchased (even if it has not been activated) or once any amount is prepaid to us, you shall not be permitted to request, claim, or otherwise seek to:

Refund the amount;

Exchange the product for cash or for any other product;

Purchase a product or service not provided by us, or provided by any other person or platform; or

Add taxes to any of TAB Exchange Company's products, in accordance with applicable laws;

Stop or suspend any payment method anywhere in the world, in a specific country, or with respect to a particular section;

Impose or modify fees regarding the use of any payment method;

Impose a currency conversion fee regarding payments made in currencies other than those we accept;

Change the terms and conditions associated with any payment method; and/or

Change the method by which a user may prepay for any of TAB Exchange Company's products, and we shall bear no liability whatsoever resulting from our exercise of these rights.

4.6 If you prepay for a TAB Exchange Company product, you must activate this product within a specific time period that we notify you of from time to time. We reserve the right to set or determine the activation period (which may be amended at our sole discretion from time to time). If you do not activate any TAB Exchange Company product within the activation period (communicated to you by us through any available communication channel), you will not be able to activate it later, and you shall have no right to receive any compensation or refund from us.

4.7 If any account becomes inactive, is deactivated, or is cancelled, your right to utilize any amounts paid to us shall lapse.

4.8 We reserve the right to reject any payment received or confiscate any amounts we believe were directly or indirectly paid or obtained through fraudulent or illegal methods without the need to provide notice, and we shall bear no liability whatsoever resulting from our exercise of these rights.

4.9 In the event that the user fails to pay any amounts owed at their respective due dates, or if any checks are returned for insufficient funds or for any other reason, all payments shall become immediately due and payable. TAB Exchange Company reserves the right to suspend the account and service (including any prepaid or postpaid TAB Exchange Company products) immediately until full payment is made or a settlement is reached between us, without the need to send written notice to the user, serve any legal notice, or initiate any judicial or arbitral proceedings.

4.10 TAB Exchange Company has the right to suspend the account and service immediately if the value of service consumption exceeds the amounts actually collected from the user, even if the due date for any of the payments has not yet arrived.

4.11 TAB Exchange Company reserves the right to immediately suspend, cancel, or terminate purchased TAB Exchange Company products:

In the event that the user breaches the Privacy Policy and/or these Terms, without the user being entitled to any compensation from TAB Exchange Company; or

You also represent and warrant (or, if you are acting on behalf of the owner or creator of the User Content, it has been confirmed to you that the creator represents and warrants) that sharing the User Content for the purposes you have specified will not infringe any copyrights, trademarks, or any other intellectual property rights or any other rights of any third party, including the right to privacy.

5.3 You may not upload, post, or otherwise make available any materials protected by copyright, trademark, or other proprietary rights on the platform without the express permission of the owner of the copyright, trademark, or other proprietary rights. Other restrictions and prohibited acts that you must be aware of are set forth in Clause 6 below.

5.4 We reserve the right to prevent any person from using the platform if they infringe the intellectual property rights of another person. If you believe that any material posted via the platform by a user constitutes an infringement of your intellectual property rights and you wish to bring this material to our attention, you must provide us with the following information:

A physical or electronic signature of a person authorized to act on behalf of the owner of the protected work;

We are not obligated to use your User Content and may not use it at all, and we reserve the right, in our sole discretion, to determine if any User Content is appropriate and complies with these Terms and/or the Privacy Policy. We also reserve the right to block access to and/or modify or remove any User Content that may violate any of these Terms and/or the Privacy Policy in our reasonable opinion.

5.6 We possess the absolute and exclusive right, without being under any obligation, to disclose User Content and the circumstances surrounding its transmission to any third party, at any time and for any reason, including to determine compliance with these Terms, the Privacy Policy, and any operating rules established by us, as well as to comply with any applicable law, regulation, or authorized governmental request.

5.7 In certain circumstances and from time to time, you may be able (subject to restrictions determined by us in our sole discretion) to modify or remove the User Content you provide through the platform. We make no representation or warranty that the User Content you modify or remove will be modified or removed from the platform or anywhere else, or that the User Content will cease to appear on the internet, in search engines, on social media sites, or in any other form, medium, or technology.

5.8 You understand and agree that User Content is public. Anyone (whether they possess an account or not) may read your User Content without your knowledge. We are not responsible for the use or disclosure of any private or other information that you disclose in connection with User Content.

5.9 Any User Content created by you or any third party is originated by the respective author(s) or distributor(s) and not by us. Other users may post incorrect, misleading, or deceptive user content. We do not endorse and are not responsible for any User Content, and we assume no liability to you or any person for any loss or damage caused by your reliance on such User Content. User Content reflects the opinions of the user who posted it and may not reflect our opinion. We are not responsible for errors or omissions regarding User Content or third-party content appearing on the platform. We completely and specifically disclaim our liability with respect to your participation in, use of, or reliance on any User Content and any actions resulting from your participation in any part of the platform, including any User Content that violates these Terms. We will use reasonable means to correct any errors or omissions as soon as we can after being notified of them.

5.10 As between us, you shall retain all your proprietary rights in the User Content you submit or post. However, by contributing to the creation of User Content or any information on or through the platform, you grant us a royalty-free, perpetual, irreversible, sublicensable, fully paid, assignable, and worldwide right and license to use, reproduce, prepare derivative works, publish, modify, translate, distribute, perform, display, broadcast, offer for sale, and sell the User Content independently or as part of other works in any form, medium, or technology, whether now known or hereafter developed, and to sublicense such rights any number of times without compensation to you. You waive any "moral rights" or other rights with respect to copyright or User Content that you may possess under any applicable law. Do not send us (or any of our employees) any unsolicited ideas, proposals, materials, images, or works in any form. If you send unsolicited materials, you understand and agree that the following terms shall apply, regardless of any accompanying cover letter or other terms:

We are not obligated to review any unsolicited materials, nor to maintain the confidentiality of unsolicited materials; and

We shall be the owners of these unsolicited materials and may use them for any reason and redistribute them, without restriction and free of any obligation to credit or compensate you.

In the event that a specific optimization idea is adopted, we will pay the points due to you according to our published policies, and those points must be used strictly within the TAB Exchange platform.

10.5 We are liable solely for our own acts or omissions and not for the acts or omissions of any third party.
